1. Acceptance
These Terms of Service govern your use of the Hey Quad platform ("the Service"), operated by HeyQuad LLC ("we," "us," "HeyQuad"). By creating an account, you agree to these Terms on behalf of yourself and any organization you represent. If you do not agree, do not use the Service.
2. The service
The Service provides a multi-tenant business phone platform: voice calling, SMS/MMS, voicemail, call routing, and related developer and admin tooling. We may add, modify, or remove features over time, but we will not materially degrade core functionality during an active billing period without notice.
3. Acceptable use
You will not, and will not permit anyone to:
- Send unlawful, harassing, or unsolicited messages, including violations of TCPA, CAN-SPAM, or 10DLC carrier policy.
- Originate calls or messages from numbers you are not authorized to use.
- Use the platform to commit fraud, run robocalling schemes, or evade carrier registration requirements.
- Reverse-engineer the platform or attempt to bypass tenant isolation.
We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.
To report suspected abuse, unwanted robocalls, or spoofed caller ID originating from the platform, email [email protected].
4. Fees and billing
Seats and add-ons are billed monthly in advance for the package you select; your seat price includes applicable taxes. Usage past your included minutes, per-message, and per-number fees are billed in arrears at the listed rate plus applicable taxes. Late payments accrue at the lesser of 1.5%/month or the maximum permitted by law. Invoices are due 10 days after they are issued, and we reserve the right to suspend service for accounts more than 10 days past due.
A suspension for non-payment pauses outbound calling only. Incoming calls continue to ring, you keep your phone numbers, emergency (911) calling is never blocked, and service is restored automatically once the balance is paid.
Your first invoice. The partial month in which your service activates is not charged. Your first invoice covers the full calendar month starting on the next 1st.
Fair use. Each seat includes 3,000 minutes per month, pooled across your organization. Minutes used beyond the pool are billed in arrears at the overage rate on your account plus applicable taxes.
International calling. International calling is off by default. If you enable it, calls to international destinations are billed at a single flat per-minute rate (set on your account, with a platform default) plus applicable taxes; there is no per-destination rate table.
AI Receptionist. AI Receptionist tiers are billed monthly in advance and each include a monthly AI-minute pool. AI minutes used beyond the pool are billed in arrears, per AI-minute, at the overage rate for your tier plus applicable taxes.
5. Hardware
Physical desk phones and other equipment we ship you remain the property of HeyQuad LLC for the life of your service. If you cancel, you agree to return the hardware using the process we provide; hardware not returned within a reasonable period is subject to a non-return fee billed as a one-time charge on your account.
6. Customer data
You retain all rights in the data you submit to the platform, including call recordings, message content, and contact lists. You grant us a limited license to process that data solely to deliver the service. Our processing is governed by our Privacy Policy.
7. Service availability
We target 99.9% monthly uptime for the API and softphone control plane. Carrier-side voice and messaging availability depends on Telnyx and the underlying PSTN. Outages and credits, if any, are governed by the SLA addendum.
8. Disclaimers and limitation of liability
The platform is provided "as is." To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability is capped at the fees paid in the twelve months preceding the claim.
Emergency calling (E911) capabilities, where available, depend on accurate address registration and on the underlying carrier network. We are not a substitute for a traditional landline for emergency communications.
9. Termination
Either party may terminate the service on 30 days' written notice. We may terminate immediately for material breach. On termination, we will provide your data export for 30 days, after which it may be deleted.
10. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Disputes will be resolved in the state and federal courts located in Wilmington, Delaware.
11. Changes
We may update these Terms. Material changes will be posted here and communicated to organization administrators by email at least 30 days before they take effect.
